Zealper Corporation - Terms of Service, Privacy Policy & Billing Terms

1. ACCEPTANCE OF TERMS

1.1 Agreement to Terms

By accessing or using Mi Property Portal services (the "Services"), including www.mipropertyportal.com and www.mipropertyportal.ca (the "Platform"), you agree to these Terms of Service, Privacy Policy, and Billing Terms (the "Agreement"). This Agreement is a legally binding contract between you (or your company) and Zealper Corporation ("Mi Property Portal," "we," "us," or "our").

1.1A Mobile Applications

By using any official Mi Property Portal mobile application (Android/iOS), you acknowledge that such applications function as WebView interfaces to our Platform. Only the following domains are authorized: manage.mipropertyportal.com, admin.mipropertyportal.com, and rentalportal.ca. Your use of mobile applications is governed by this Agreement.

1.2 Capacity and Authority

You represent that: (a) you are at least 18 years of age or the age of majority in your jurisdiction; (b) you have legal capacity to enter this Agreement; (c) if representing an organization, you have authority to bind it; and (d) you are not prohibited by law from using the Services.

1.3 Modifications

We may modify this Agreement at any time without notice. Changes are effective immediately upon posting. Continued use constitutes acceptance. You must review this Agreement periodically.

Certain features may have additional terms that are incorporated by reference and take precedence for those specific features.

3. SERVICE DESCRIPTION

3.1 Platform Overview

Mi Property Portal is a cloud-based SaaS platform for property management including: property/unit management; tenant, owner, and vendor portals; accounting and financial reporting; lease management and e-signatures; payment processing facilitation; rental listings on rentalportal.ca; online rental applications; service requests; document management; and reporting.

3.2 Public Rental Listings

When you enable rental listings, they are published on rentalportal.ca and are publicly accessible on the internet. By enabling a listing, you: consent to public disclosure; acknowledge public accessibility; represent you have authority to publish; accept responsibility for accuracy and legality; understand search engine indexing; and agree to comply with fair housing laws.

3.3 Rental Applications

We offer free online rental applications. When prospective tenants apply: we collect their contact information including email and phone number; we may contact them about application status; we may offer additional services (credit reporting, insurance, tenant screening); their information is shared with the Property Manager or Owner; and they consent to receiving communications about services.

3.4 Service Tiers & Pay-Per-Use Features

We offer multiple subscription tiers with varying features (see Section 5). Certain features are pay-per-use including: e-lease signatures, identity verification, credit bureau reporting, tenant screening, third-party rental listings, two-way SMS, criminal record check and specific inspection services. Beta features are provided "as-is" and may be modified or discontinued without notice.

4. ACCOUNT REGISTRATION AND SECURITY

4.1 Account Requirements

You must provide accurate, complete, and current information. You agree to: provide truthful registration information; maintain updated information; use a valid email address; and not impersonate any person or entity.

4.2 Account Security

You are solely responsible for: maintaining confidentiality of credentials; all account activities; immediately notifying us of unauthorized use; and not sharing credentials. We may implement two-factor authentication requirements.

4.3 Verification and Limitations

We may verify your identity and suspend accounts pending verification. You may only create one account per email address. Multiple accounts for deceptive purposes are prohibited and may result in termination.

4.4 User Representations and Warranties

You represent and warrant that: (a) you have legal capacity and authority to enter this Agreement; (b) all information provided is true, accurate, and current; (c) your use complies with all applicable laws; (d) you are not subject to bankruptcy or insolvency proceedings; (e) your use does not conflict with court orders or contractual obligations; (f) you have all necessary rights to data you upload; (g) you have obtained necessary consents from tenants, owners, and other parties; (h) you acknowledge this Agreement has commercial value; (i) you understand the company may be sold and your relationship will transfer; (j) you consent to due diligence by potential acquirers; and (k) you will not interfere with any business transfer or acquisition process. These representations are continuing and survive termination.

5. SUBSCRIPTION PLANS AND PRICING

Features for each plan are at www.mipropertyportal.com/pricing. We may modify features or reassign them between plans with reasonable notice.

5.2 Unit Calculation & Administrative Users

A "unit" is any residential, commercial, or storage rental unit managed through the Platform. Units are counted at billing time. Administrative user limits: Free (1), Basic (3), Essential (Unlimited), Premium (Unlimited).

5.3 No Minimum Contract & Price Changes

All plans are month-to-month with no minimum term unless separately agreed in writing. We may change pricing with 30 days' notice. Price changes apply to subsequent billing periods. Continued use after price changes constitutes acceptance.

6. BILLING AND PAYMENT TERMS

6.1 Billing Cycle & Payment

Subscriptions are billed monthly in advance on the date of initial subscription (or last day of month if date doesn't exist). Payment is processed through Stripe. You authorize charges for: monthly subscription fees; per-unit charges; pay-per-use features; and applicable taxes. Your subscription auto-renews monthly unless cancelled.

6.2 Unit Charges & Taxes

Per-unit charges are based on active units at billing time. Adding/removing units during a billing period takes effect next period. All fees exclude applicable federal, provincial, and local taxes (GST, HST, PST, QST). You are responsible for all applicable taxes.

6.3 Failed Payments & Late Fees

If payment fails: we attempt processing up to 3 times over 15 days; you receive email notifications; if unsuccessful after 15 days, access is suspended; you remain responsible for outstanding fees; and suspended accounts may be reactivated upon payment. Accounts with payment outstanding beyond 30 days may incur late fees of 2% per month (26.8% annually) or maximum permitted by law.

6.4 Currency & Payment Terms

All fees are in Canadian Dollars (CAD). Payments must be made in full without deduction, withholding, or set-off. You are responsible for all fees imposed by your financial institution.

7. REFUND AND CANCELLATION POLICY

7.1 NO REFUNDS

ALL SUBSCRIPTION FEES ARE NON-REFUNDABLE. Once processed, no refunds are issued for any reason including: cancellation mid-period; unused services; service interruptions, downtime, or maintenance; feature limitations or bugs; dissatisfaction; duplicate payments (except billing errors); policy or feature changes; account suspension or termination; or service discontinuation.

7.2 Subscription Cancellation vs. Account Deletion

7.2.1 Cancelling Your Paid Subscription

You may cancel your paid subscription anytime via account settings from the admin portal. Upon cancellation: you will be billed for the full month; you retain access to paid features until billing period ends; your account automatically downgrades to the Free plan; your data remains accessible under Free plan features; you can upgrade back to paid anytime; and no partial refunds are provided.

7.2.2 Complete Account Deletion

To completely delete your account (not just cancel subscription), you need to initiate 'Delete Account' process from the portal account settings. Upon account deletion: access terminates immediately (or at end of billing period if on paid plan); you will be billed for the full month (if on paid plan); account and data are subject to Section 21 (Data Retention Policy); deletion is permanent after 30-day grace period; and no refunds are provided.

7.2.3 Reactivation and Upgrades

Free plan users may upgrade to any paid plan anytime. Upgrading constitutes a new subscription with billing commencing immediately. Deleted accounts may be reactivated within 30 days by contacting support. After 30 days, accounts and data are permanently deleted and cannot be recovered.

7.3 Pay-Per-Use Charges & Chargebacks

Pay-per-use charges are non-refundable once service is rendered. Initiating a chargeback or payment dispute constitutes breach of this Agreement and may result in immediate termination and legal action to recover fees and costs.

8. PAYMENT PROCESSING SERVICES

8.1 Third-Party Processors & Our Role

We facilitate payment processing through Worldline (formerly Bambora) and VoPay. WE ARE A FACILITATOR ONLY. We: do NOT process payments directly; do NOT store credit card information; do NOT store bank account information; do NOT hold or control funds in transit; are NOT a party to your contract with processors; and bear NO responsibility for processor services, fees, or failures.

8.2 Fees & Terms

Worldline: Transaction fees charged by Mi Property Portal as shown at support.mipropertyportal.com

VoPay: Transaction fees charged directly by VoPay to end user.

By using payment processors, you agree to: review and accept their terms of service and privacy policy; establish direct contractual relationship with them; comply with all their requirements; provide accurate payment information; and resolve disputes directly with them.

8.3 Data Storage & No Liability

All credit card and bank account information is stored exclusively on processor servers, subject to their security protocols and PCI-DSS compliance. We receive only transaction confirmation status, reference numbers, and non-sensitive metadata.

WE EXPRESSLY DISCLAIM ALL LIABILITY FOR: processor interruptions, failures, or downtime; transaction delays or failures; fee changes; disputed transactions or chargebacks; fraud or unauthorized transactions; policy changes or service termination; and data security or privacy breaches at processor level.

9. TRUST ACCOUNT SERVICES

9.1 Zealper Trust Account

We offer optional rent collection and disbursement services through a trust account managed by Zealper. By using Trust Account Services, you authorize us and Zealper to: collect payments on your behalf; hold funds in trust; disburse funds according to your instructions; share necessary information with Zealper; and comply with regulatory reporting.

9.2 Disbursement & Compliance

You are responsible for providing accurate disbursement instructions. Trust Account Services are operated in compliance with provincial real estate trust account regulations, anti-money laundering legislation (PCMLTFA), and financial institution requirements. Trust Account Services may be subject to additional fees disclosed on our pricing page.

9.3 Limitation of Liability

Neither Mi Property Portal nor Zealper shall be liable for: delays due to banking system delays; holds placed by financial institutions; incorrect disbursements from your erroneous instructions; tax consequences; or disputes regarding fund entitlement. We may discontinue Trust Account Services with 30 days' notice. Upon termination, funds will be disbursed per your last instructions or returned to source.

10. PRIVACY POLICY AND PERSONAL INFORMATION

10.1 Our Commitment

We protect your Personal Information in accordance with PIPEDA and applicable provincial privacy legislation.

10.2 Information We Collect

Account Information: name, email, phone, address, company/business information

Property & Tenant Information: property addresses, unit details, tenant names/contacts, lease terms, rental amounts, payment history, service requests

Prospective Tenant Information (Rental Applications): name, email, phone, current address, employment information, references

Financial Information: bank account information (for disbursements to owners/managers), transaction history, billing information. WE DO NOT STORE: credit card numbers, expiration dates, CVV/CVC codes, or banking login credentials. This information is stored exclusively by our payment processors.

Technical Information: IP address, browser type, device information, operating system, cookies, log files, session data

Communications: support tickets, emails, in-platform messages, SMS messages

Usage Information: features accessed, reports generated, documents created, activity logs, platform interaction analytics

18. LIMITATION OF LIABILITY

18.1 Maximum Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MI PROPERTY PORTAL'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THIS AGREEMENT OR YOUR USE OF SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY. For users on the Free Plan, our maximum liability is CAD $100.

18.2 Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MI PROPERTY PORTAL SHALL NOT BE LIABLE FOR: indirect, incidental, special, consequential, or punitive damages; lost profits, revenue, or business opportunities; loss of data or data corruption; cost of substitute services or products; business interruption; reputational harm; or loss of goodwill. This exclusion applies regardless of: legal theory (contract, tort, negligence, strict liability, or otherwise); whether we were advised of the possibility of such damages; or whether damages were foreseeable.

18.4 Warranty Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO: implied warranties of merchantability; fitness for a particular purpose; non-infringement; title; quality, accuracy, or reliability; uninterrupted or error-free operation; or freedom from viruses or harmful components. No oral or written information or advice provided by us creates a warranty.

ACKNOWLEDGMENT AND ACCEPTANCE

BY CLICKING "I AGREE," CHECKING THE ACCEPTANCE BOX, CREATING AN ACCOUNT, OR USING THE SERVICES, YOU ACKNOWLEDGE THAT:

  1. You have read, understood, and agree to be bound by this Agreement
  2. You have the legal capacity and authority to enter into this Agreement
  3. You consent to electronic communications and signatures as described herein
  4. You understand the billing, refund, and cancellation policies
  5. You consent to data collection, use, and sharing as described in the Privacy Policy
  6. You understand the limitations of liability and warranty disclaimers
  7. You agree to indemnify Mi Property Portal as described herein
  8. You agree to the governing law and jurisdiction provisions
  9. You have had opportunity to seek legal advice before accepting
  10. This Agreement constitutes a legally binding contract

SPECIAL NOTICES

Notice to Property Managers

You are responsible for compliance with all applicable landlord-tenant laws, human rights legislation, and privacy requirements when using our Services. We do not provide legal advice. Consult legal counsel for compliance questions.

Notice to Tenants

Your information may be shared with Property Managers, Owners, Vendors, and third-party service providers as described in this Agreement. You have rights under PIPEDA to access, correct, and request deletion of your Personal Information, subject to legal and contractual limitations.

Notice to Prospective Tenants (Rental Applicants)

When you submit a rental application: your information will be shared with the Property Manager or Owner to whom you applied; you may receive communications about your application status and additional services (credit reporting, insurance, tenant screening); you can opt out of marketing communications while still receiving application-related updates; your information may be retained for future rental opportunities unless you request deletion; you have rights under PIPEDA to access, correct, and request deletion; and rental listings on rentalportal.ca are publicly accessible and may be viewed by anyone on the internet.

Notice to Owners

Your information may be shared with Property Managers and third-party service providers. You are responsible for ensuring Property Managers have appropriate authority to act on your behalf. When you publish rental listings on rentalportal.ca: your listing information becomes publicly accessible on the internet; you are responsible for the accuracy and legality of all listing content; you must comply with all fair housing and anti-discrimination laws; and you assume all risks associated with public disclosure of property information.

Notice to All Users

We do NOT provide legal, financial, tax, or insurance advice. Services are tools to facilitate property management. You are responsible for ensuring compliance with all applicable laws and regulations.
